What these terms cover
These terms are set by Egbenn Limited, a company registered in England and Wales with company number 11968982, trading as Egbenn Accountancy. Its registered office is at 167-169 Great Portland Street, 5th Floor, London W1W 5PF. They apply when you read this website, answer the intake quiz, send an enquiry or arrange a free growth review. In short, they cover everything that happens before you become a client. By using the site you agree to them. If Egbenn takes you on as a client, the work is covered by your Engagement Letter, and these terms sit behind it.
How Egbenn works with clients
Any accounting, tax, bookkeeping, payroll or advisory work Egbenn does for you is covered by an individual Engagement Letter. You and Egbenn both sign it when you come on board and before any work starts. It sets out exactly what Egbenn will do, what you will provide and when, the fixed monthly fee agreed before any work starts, and how either side can end the arrangement. If anything in these website terms conflicts with your Engagement Letter, the Engagement Letter takes precedence. Nothing on this website, including the quiz recommendation or the free growth review, creates a client relationship on its own.
How you can use this website
A few simple rules keep the site useful and safe for everyone who visits.
Permitted use
You’re welcome to read, print and save pages for your own use or for running your business. You may not copy the site in bulk, scrape it with automated tools, reverse engineer it or reuse its content to build a competing product or service.
User conduct
Please use the site honestly and lawfully. You must not use it for fraud, send abusive or harassing messages through its forms, upload anything harmful, or try to break into, overload or interfere with the site or the systems behind it. Egbenn may block access if this happens.
Enquiry security
This site has no client login. When you answer the intake quiz or send an enquiry, please give accurate details about yourself and your business, and only submit information you are entitled to share. Never send passwords or bank login details through the site’s forms or by email.
Reliance on content
Guides, calculators and articles on this site explain general rules as they stood when written. Tax law changes and every business is different, so the content is no substitute for advice on your own position. For advice you can act on, Egbenn needs to take you on formally under an Engagement Letter.
Intellectual property on this site
The text, photographs, logo, design and layout of this website belong to Egbenn Limited or are used under licence. You can read the content, and you’re welcome to share a short extract or a link with others, as long as you say it came from Egbenn Accountancy and link back to the page. You may not reproduce, republish or sell the content for commercial purposes without written permission. The Egbenn Accountancy name and logo must not be used on any material, or in a way that suggests a connection with the firm, without written permission first. To ask, email info@egbenn.co.uk.
Egbenn’s professional obligations
Accountancy is a regulated profession in the UK. Some of Egbenn’s duties come from the law and from its professional body, and they apply whatever these terms say.
Anti-money laundering checks
The Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 require Egbenn to check who you are before taking you on. That means proof of identity and proof of address for directors and owners, and details of who owns and controls the company. Some cases need further checks. If the checks cannot be completed, Egbenn cannot act for you and may end an existing engagement.
Record retention
The money laundering regulations require Egbenn to keep identity and engagement records for at least five years after the working relationship ends. Tax record-keeping rules often mean some records are kept for six years or more. The exact retention periods are set out in the Privacy Policy.
Suspicious activity reporting
If Egbenn knows or suspects that money laundering or terrorist financing is taking place, the law requires a report to the National Crime Agency. This duty overrides client confidentiality. The law also makes it a criminal offence, known as tipping off, to tell anyone that a report has been made or is being considered, so Egbenn cannot discuss it with you.
Professional regulation
Egbenn is an ACCA registered practice, registration number 5871744, and Crosby Enninful is ACCA qualified. The firm is bound by ACCA’s Code of Ethics and Conduct and its practising regulations. Where anything in these terms or in an Engagement Letter is inconsistent with that code, the code takes precedence.
Limits on Egbenn’s liability
This section is about using the website. Liability for the accounting and tax work is dealt with in your Engagement Letter.
Egbenn’s liability for professional work, including any cap on it, is agreed in the Engagement Letter you sign before any work starts. What follows covers only the website: its content, its availability, the intake quiz and the recommendation it gives. Nothing here reduces your rights under an Engagement Letter.
What Egbenn does not limit
Nothing in these terms limits or excludes Egbenn’s liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited or excluded under the law of England and Wales. Your statutory rights are not affected.
Website-related liability
The website is provided as is. Egbenn works to keep it accurate and available, and cannot promise it will always be online, free of errors or up to date with the latest tax changes. Its content and the quiz recommendation are general information. Egbenn is not liable for losses that arise from relying on the website alone, without first taking advice under an Engagement Letter.
Professional services liability
Once you’re a client, any limit on Egbenn’s liability for the work is set out in your signed Engagement Letter. That limit is agreed with you in advance and is commonly a fixed amount or a multiple of the fees paid. Egbenn holds professional indemnity insurance in line with ACCA’s requirements. The specific terms that apply to you are the ones in your Engagement Letter.
Your responsibilities to Egbenn
Egbenn’s work is only as good as the information it’s built on. As a client, you are responsible for making sure the records, figures and explanations you provide are accurate and complete, and for telling Egbenn promptly when something changes. Egbenn relies on that information to prepare accounts, returns and advice. If Egbenn suffers a loss because information you supplied was inaccurate or incomplete, you agree to indemnify Egbenn, which means covering that loss. This doesn’t apply where Egbenn should reasonably have spotted the problem, and the detail is set out in your Engagement Letter.
How these terms can end
You can stop using this website whenever you like. Egbenn may suspend or block your access if you break these terms. Ending your use of the website has no effect on an active Engagement Letter, which has its own terms for how either side can end it. Some parts of these terms carry on after your use ends, including the rules on intellectual property, record retention and Egbenn’s money laundering duties.
Which law applies to these terms
These terms are governed by the law of England and Wales. Any dispute about them will be dealt with by the courts of England and Wales. If you are dealing with Egbenn as a consumer, nothing here affects your statutory rights, including your right to bring a claim in the part of the UK where you live.
How to raise a complaint
If you’re unhappy with anything Egbenn has done, please put it in writing to Crosby Enninful at info@egbenn.co.uk or by post to the registered office. Your complaint will be acknowledged, looked into fairly and answered in writing, setting out what Egbenn found and what it will do about it. If you are not satisfied with the outcome, you can take the complaint to ACCA, Egbenn’s professional body. Where an ombudsman or another regulator covers your complaint, you may also have the right to go to them.
Changes to these terms
Egbenn may update these terms from time to time, and the last reviewed date at the top of this page will change when it does. If a change affects how Egbenn works with existing clients, it will be raised through the Engagement Letter. Using the website after a change means you accept the updated terms.
